1. Overview
VentrBox connects SaaS data owners ("Sellers") with AI model developers and enterprises ("Buyers") to license anonymised datasets for training, benchmarking, and evaluation purposes.
VentrBox provides listing review, messaging, licence proposals and private file delivery. Escrow and payments through VentrBox are planned and not yet live; until then, buyers and sellers settle payment directly between themselves.
VentrBox does not buy, own, or resell any data. It facilitates legally compliant data exchange between verified parties.
2. Definitions
3. Platform Principles
- Anonymisation First: No personal or identifiable data may be listed or transferred through VentrBox.
- Licence, Not Sale: All transactions are licences of limited use, not ownership transfers.
- Transparency & Traceability: All actions (uploads, acceptances, disputes) are logged and time-stamped.
- Compliance Declarations: Sellers declare applicable requirements and attest to anonymisation and licensing rights.
- Escrow Protection (planned): Escrow is planned and not yet live. VentrBox does not currently hold any funds.
- Auditability: VentrBox records transaction and delivery activity.
4. Seller Rules
Sellers must:
- Own or Control Rights
- You may only list datasets you lawfully own or have the contractual right to license.
- You cannot license customer data unless your SaaS agreements explicitly grant that right.
- Ensure Anonymisation
- Datasets must be fully anonymised and stripped of any direct or indirect personal identifiers.
- Aggregated, synthetic, or statistically de-identified data is acceptable.
- Declare Compliance
- Select the requirements that apply to your dataset and provide accurate attestations.
- Upload documentation if available.
- Deliver What You Describe
- Dataset must match your listing's title, schema, coverage, and metadata.
- Misrepresentation voids the licence and may forfeit payment.
- Respect Scope
- Buyers receive a limited licence for model training and analysis, not ownership or redistribution rights.
- Maintain Quality
- Data should be accurate, stable, and delivered in the declared format and timeframe.
- Keep It Clean
- No unlawful, confidential, or offensive content.
- No inclusion of datasets derived from or exposing others' IP or customer data.
- Ongoing Deliveries
- Ongoing licences must deliver updates on the agreed cadence (e.g., monthly or quarterly).
- Cooperate on Audit or Disputes
- Provide evidence of provenance or anonymisation if requested by VentrBox or regulators.
5. Buyer Rules
Buyers must:
- Use Within Licensed Scope
- Use the dataset only for model development, testing, benchmarking, or evaluation.
- Resale, redistribution, or publication of the dataset is strictly prohibited.
- Respect Anonymity
- No re-identification or de-anonymisation attempts.
- No data enrichment using other sources to reverse anonymity.
- No Onward Sharing
- You may not share or sublicense the dataset to affiliates, clients, or third parties unless the licence explicitly allows it.
- Respect Confidentiality
- You may not disclose dataset contents or seller identity without permission.
- Derivative Models Are Yours: Data Is Not
- You may commercialise models trained on licensed data, but you may not redistribute the training data itself.
- Retention & Deletion
- You must delete or re-license the dataset upon licence expiry or upon request from the seller.
- Compliance Obligations
- You must use data in accordance with applicable privacy and AI governance laws (GDPR, CCPA, etc.).
- Audit Cooperation
- You agree to provide reasonable evidence of compliance if requested under investigation.
6. VentrBox Responsibilities
VentrBox will:
- Vet Listings: automated and manual checks for completeness, legality, and anonymisation statements.
- Escrow (planned): VentrBox does not hold funds today. When escrow launches, these rules will be updated before it applies.
- Record Licence Terms: proposed licence terms are recorded in the Deal Room for both parties.
- Maintain Records: deal activity such as deliveries and acceptances is logged with timestamps.
- Help Resolve Disputes: VentrBox may review disputes raised in the Deal Room and mediate between the parties.
- Protect Both Parties: no data is visible to other users outside deal participants and admin reviewers.
7. Payment & Fees
- Buyers: VentrBox Pro costs £199 per month or £1,990 per year, including any applicable VAT, sold and billed by Stripe. See Pricing and the Cancellation and Refund Policy.
- Sellers: listing is free.
- Planned, not live: licence payments through VentrBox, with a 15% platform fee on batch licences and 5% on ongoing licences, escrow and seller payouts. No fee is charged on licences today.
- Until licence payments launch, buyers and sellers agree and settle payment directly.
8. Disputes & Refunds
- Buyer may dispute delivery within the inspection window.
- Escrow is planned; VentrBox does not hold funds, so disputes over payment are settled between the parties.
- VentrBox may suspend listings or accounts that break these rules.
- VentrBox reserves final adjudication authority unless both parties escalate via arbitration (see §12).
9. Compliance & Legal Assurance
- Sellers affirm data compliance under relevant data-protection laws.
- Buyers affirm they will use data ethically and lawfully.
- VentrBox reserves the right to suspend, remove, or report any party violating these rules.
10. Term & Termination
- Licences remain active for the duration specified in the licence agreement.
- Violation of these terms may lead to immediate suspension and permanent delisting.
- Termination does not release either party from accrued payment obligations.
11. Liability & Indemnity
- Each Seller warrants that datasets are lawfully licensed and free from legal claim.
- Each Buyer indemnifies Seller and VentrBox for misuse, redistribution, or re-identification.
- VentrBox is not liable for dataset accuracy or suitability; it provides facilitation only.
12. Governing Law & Arbitration
- These Terms shall be governed by the laws of England and Wales.
- Disputes not resolved internally shall be referred to binding arbitration under LCIA rules (London Court of International Arbitration).
